What "Foreign" Actually Means
In legal language, "foreign" doesn't mean international — it just means out-of-state. An LLC formed in Delaware that opens an office in New York is a "foreign LLC" from New York's perspective. The same applies to corporations and other entity types.
The LLC Law requires a foreign LLC to apply for authority before doing business in New York, but it never defines "doing business." Section 803 names just four activities that are not, on their own, doing business: suing, defending or settling claims, meetings of members or managers, bank accounts, and offices kept only for transferring membership interests. The Department of State's own guidance describes the test as contacts with New York that are permanent, continuous and regular, more than a single contract or an occasional undertaking. The Department won't rule on individual cases, so ask a New York attorney if you're unsure.
Who Receives Service of Process in New York
New York does things differently from most states: by law, the Secretary of State serves as each authorized foreign LLC's statutory agent. Your application designates it, and when someone serves papers on the Secretary of State in Albany, a copy is mailed to the address you list on file. That mailing address can be anywhere, inside or outside New York.
A separate registered agent is optional in New York. You can name one on the application (or add one later with a $30 Certificate of Change), and process can then be delivered straight to that agent. The agent may be a person who lives in New York or has a business address here, or an LLC or corporation formed in New York or authorized here.

1. Get a certificate of existence. Many states call this document a certificate of good standing; it comes from your home Secretary of State or the equivalent records office. New York accepts it if it's dated within the past year, and your LLC name and formation date on the application must match it exactly.
2. Decide on a process address and an optional registered agent. Give New York a mailing address for forwarded process, and add a registered agent if you want one.
3. File the Application for Authority ($250). Form DOS-1361-f-a goes to the Division of Corporations in Albany with the $250 fee. If your name isn't available, the application lists a fictitious name for use in New York. Expedited handling is optional: $25 for 24 hours, $75 same day, or $150 within 2 hours.
4. Publish within 120 days. New York requires a notice of your filing to appear for six consecutive weeks in two newspapers, a daily and a weekly picked by the clerk of the county you list. Then file the Certificate of Publication, which costs $50. Skip it, and New York suspends your LLC's authority until the publication is done. Newspaper charges vary by county and are set by the papers, not the state.
5. File a biennial statement. Every two years, in the month your application was filed, file a biennial statement for $9.
